FIORUCCI FOODS, INC. ACCESS TERMS OF SERVICE

1. Background. These Access Terms of Service govern your use of the Fiorucci Foods.com web site, currently available at http://www.Fiorucci Foods.com (the "Fiorucci Foods Site"), which is owned and operated by Fiorucci Foods, Inc. ("FIORUCCI FOODS"). By using the Fiorucci Foods Site, you agree to be bound by these Access Terms of Service. If you do not agree to these Access Terms of Service, you must immediately cease use of the Fiorucci Foods Site.

You agree that Fiorucci Foods shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on the Linked Sites.

You acknowledge and agree that all right, title and interest in and to the Fiorucci Foods Site and any and all Content belong to Fiorucci Foods or its third party content providers, and You agree not to assert any claim to the contrary. Without limiting the generality of the foregoing, Fiorucci Foods and its affiliates and their respective officers, directors, employees, contractors and agents shall not be liable for any damages for loss of profits, goodwill, use, or data, whether based on contract, tort, negligence, strict liability or otherwise, regardless of cause, even if Fiorucci Foods has been advised of the possibility of such damages, arising out of or relating to (i) the use of, inability to use or delay in any part of the Fiorucci Foods Site or Content, including without limitation any errors and omissions and any untimeliness in the Fiorucci Foods Site; (ii) the cost of procurement of substitute goods and services; (iii) any goods or services purchased or obtained through or from the Fiorucci Foods Site; (iv) messages or content received or transactions entered into through or from the Fiorucci Foods Site, including without limitation computer viruses; (v) unauthorized access to or alteration of your transmissions or data; or (vi) interruption, suspension or termination of the Fiorucci Foods Site, regardless of whether such interruption, suspension or termination was justified, negligent or intentional, inadvertent or advertent. 11. General Provisions. The Terms of Service and the relationship between you and Fiorucci Foods shall be governed by the laws of the State of Virginia without regard to its conflict of law provisions. Any and all disputes arising from or in connection with the Fiorucci Foods Site shall be subject to binding arbitration conducted by a single arbitrator in Richmond, Virginia pursuant to the Commercial Arbitration Rules of the American Arbitration Association, as now or hereafter amended; provided, however, that Fiorucci Foods shall be entitled to seek injunctive and other equitable relief in any forum of competent jurisdiction to enforce these Access Terms of Service or its rights in the Fiorucci Foods Site and its Content without first seeking or obtaining any decision in arbitration. No failure or delay of Fiorucci Foods to exercise or enforce any right or remedy under these Access Terms of Service shall constitute a waiver thereof. If any provision of these Access Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Access Terms of Service remain in full force and effect.
